Terms & Conditions

Welcome to Capixelism. These Terms & Conditions ("Terms") form a binding legal agreement between you ("you", "your", or "User") and the operators of Capixelism ("Capixelism", "we", "us", or "our") governing your access to and use of the website located at capixelism.com, any subdomains, and all related features, smart contracts, application programming interfaces, and services we make available (collectively, the "Service").

By accessing, connecting a wallet to, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our [Privacy Policy](/privacy). If you do not agree, do not use the Service.

1. What Capixelism Is

Capixelism is a social experiment in speculative markets. It takes the form of a board: a fixed grid of individually ownable tiles ("pixels"). Each pixel has a current owner and a current price recorded on a public blockchain by a smart contract (the "PixelGame Contract"). When you buy a pixel, its price for the next buyer is set to twice the price you paid (a Harberger-style escalating-price mechanism). Owners may set the color and a short text description of pixels they own.

Proceeds, fees, and "profit." Every sale is subject to a protocol fee of 10% of the sale price, enforced on-chain by the PixelGame Contract and paid to the operator of Capixelism. The proceeds of a purchase are distributed by the contract as follows:

  • Resale of a tile that already has an owner: the previous owner receives the

sale price minus the 10% protocol fee (i.e., 90% of the sale price), and the 10% fee is paid to the operator.

  • First sale of a tile (a tile that has never been owned): there is no prior

owner to pay, so the entire purchase price is paid to the operator.

  • Any amount you send above the current price is refunded to you on-chain.

Accordingly, any "profit" you may realize as a seller is the price your tile is later bought for, less the 10% protocol fee and less the network gas fees you and the buyer pay — and only if and when someone chooses to buy your tile. The 10% fee, the price-doubling, and the requirement that someone else buy your tile mean a profit is never guaranteed, and you may lose some or all of what you paid.

The blockchain is the authoritative source of truth for ownership and pricing. Capixelism also maintains an off-chain database that mirrors on-chain events to power the board display, profiles, market feed, and leaderboards. This mirror is provided for convenience and may lag, differ from, or be unavailable relative to on-chain state.

Capixelism is offered for entertainment and experimental purposes as a "social experiment in speculative markets." It is not an investment product, security, collective investment scheme, or financial instrument, and nothing in the Service is a solicitation to buy or sell any of the foregoing.

2. Eligibility

To use the Service you represent and warrant that you:

  • are at least 18 years old (or the age of majority in your jurisdiction, if

higher) and have the legal capacity to enter into these Terms;

  • are not located in, organized under the laws of, or a resident of any country

or territory subject to comprehensive economic sanctions, and are not a person with whom we are legally prohibited from transacting (including any party on a government restricted-party or sanctions list);

  • will comply with all laws, rules, and regulations applicable to you, including

tax, anti-money-laundering, and securities laws; and

  • have not been previously suspended or removed from the Service.

You are solely responsible for determining whether your use of the Service is lawful in your jurisdiction.

3. Wallets, Blockchain Transactions, and Gas

The Service is non-custodial. To transact, you must connect a compatible third-party self-custody wallet (for example via RainbowKit, WalletConnect, or a browser-extension wallet). You alone control your wallet, its private keys, and its seed phrase. We never receive, store, or have access to your private keys or funds.

You acknowledge and agree that:

  • All purchases are executed on a public blockchain and are irreversible. We

cannot cancel, reverse, refund, or modify a confirmed transaction.

  • Blockchain transactions require network ("gas") fees that you pay to the

network, not to us, and that are outside our control.

  • You are responsible for verifying every transaction's details (including the

pixel, price, recipient, and network) before signing.

  • We are not responsible for losses arising from your use of the wrong network,

an incorrect address, a mistyped amount, failed or stuck transactions, wallet malfunctions, phishing, or loss of your keys or seed phrase.

  • The price of a pixel can be raised by any buyer at any time, and ownership of

any pixel is always subject to being purchased by another User; there is no guarantee that you will ever recover your purchase price or realize a profit.

4. The Purchase Voucher Gate

Purchases through the Service are gated by an off-chain, server-signed authorization ("voucher"). When you initiate a purchase, the Service requests a voucher bound to your wallet address, the chosen pixel, a nonce, and an expiration. The PixelGame Contract will reject any purchase that is not accompanied by a valid voucher.

You agree not to attempt to circumvent, reverse-engineer, forge, replay, automate, or otherwise abuse the voucher mechanism, the same-origin and rate-limiting protections, or any other security control of the Service. We may refuse to issue a voucher, or rate-limit or block requests, at our discretion and without notice.

5. Pixel Content and Conduct

Owners may set a pixel's color and a short description (currently limited in length). You are solely responsible for any content you submit, including pixel descriptions, chosen colors, and any username associated with your address. By submitting content you represent that you have all necessary rights to do so.

You agree not to submit, create, or display, and not to use the Service to transmit, any content or to engage in any conduct that:

  • is unlawful, defamatory, harassing, abusive, threatening, hateful, or that

incites violence;

  • is obscene, pornographic, sexually exploitative, or harmful to minors;
  • infringes any patent, trademark, copyright, trade secret, privacy, publicity,

or other right of any person;

  • contains another person's private or personal information without authorization;
  • impersonates any person or entity or misrepresents your affiliation;
  • contains malware, viruses, or any malicious code, or links to such;
  • promotes illegal activity, fraud, scams, or deceptive financial schemes; or
  • attempts to manipulate, disrupt, overload, or gain unauthorized access to the

Service, its infrastructure, the database mirror, or any other User's systems.

Because color and description edits are restricted to the owner of a pixel and are mirrored from authenticated, owner-gated actions, you remain responsible for all content displayed on pixels you own for as long as you own them.

6. Content License and Moderation

You retain ownership of the intellectual-property rights in content you submit. You grant Capixelism a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, and distribute such content solely to operate, provide, promote, and improve the Service.

We do not pre-screen content but reserve the right (but not the obligation), in our sole discretion and without notice, to remove, hide, refuse to display, or refuse to mirror any content in our off-chain database, and to suspend or terminate access for any User, for any reason, including violations of these Terms. Because the underlying blockchain is public and outside our control, removing content from our database mirror does not remove or alter any data already recorded on-chain.

7. No Financial, Investment, Legal, or Tax Advice

Nothing on the Service constitutes financial, investment, legal, accounting, or tax advice, or a recommendation to enter into any transaction. Prices are highly volatile and experimental. You may lose the entire value of any funds you commit. You are solely responsible for evaluating the risks of using the Service and for any tax obligations arising from your activity. Consult your own professional advisers before transacting.

8. Digital Assets and Regulatory Risk

The legal and regulatory treatment of blockchain-based assets is uncertain and evolving. New or changed laws, regulations, or enforcement actions may adversely affect the Service, the PixelGame Contract, or your ability to use or value your pixels. We make no representation that the Service or any pixel constitutes (or does not constitute) a security or other regulated instrument in any jurisdiction, and you assume all regulatory risk.

9. Third-Party Services

The Service relies on and links to third-party services we do not control, including blockchain networks (such as Base and Ethereum and their testnets), wallet providers, RPC/node providers, WalletConnect/Reown infrastructure, hosting and analytics providers (including Vercel Analytics and Vercel Speed Insights), and rate-limiting infrastructure (Upstash). Your use of those services is governed by their own terms and policies. We are not responsible for the availability, accuracy, security, or conduct of any third party.

10. Intellectual Property

Except for User content and open-source or third-party components subject to their own licenses, the Service — including its name, logo, design, text, graphics, and software — is owned by Capixelism or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from the Service except as expressly permitted by law or by us in writing.

11. Disclaimers

THE SERVICE, THE PIXELGAME CONTRACT, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free of harmful components; that the off-chain mirror will be accurate or current; that smart-contract code is free of vulnerabilities; or that any defect will be corrected. You use the Service entirely at your own risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CAPIXELISM OR ITS OPERATORS, CONTRIBUTORS, OFFICERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR DIGITAL OR OTHER ASSETS, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the total fees, if any, you paid directly to Capixelism in the three months preceding the event giving rise to the claim, or (b) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Assumption of Risk

You expressly acknowledge and accept the inherent risks of blockchain technology and speculative markets, including price volatility, total loss of funds, smart contract bugs or exploits, network congestion or failure, forks, "front-running" and other adversarial transaction ordering, regulatory action, and the irreversibility of transactions. You assume all such risks.

14. Indemnification

You agree to indemnify, defend, and hold harmless Capixelism and its operators, contributors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, your violation of these Terms, or your violation of any law or third-party right.

15. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service (including the voucher gate and off-chain features) at any time, with or without notice, for any reason, including suspected violation of these Terms. On-chain ownership recorded by the PixelGame Contract is not within our control and is not affected by such suspension. Sections that by their nature should survive termination will survive.

16. Changes to the Service and These Terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. Material changes will take effect when posted, and your continued use of the Service after changes become effective constitutes acceptance. If you do not agree to the updated Terms, stop using the Service.

17. Dispute Resolution

Subject to any non-waivable rights under the laws of your place of residence, you agree to first attempt to resolve any dispute arising out of or relating to these Terms or the Service informally before pursuing any formal claim. To the extent permitted by applicable law, you and Capixelism waive any right to a jury trial and agree that claims must be brought in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

18. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of it. You may not assign these Terms without our consent; we may assign them freely. Nothing in these Terms creates a partnership, agency, or employment relationship.
